General Partner
The General Partner of the Partnership is Dominion Opportunity Fund I GP, LLC, a newly formed Delaware limited liability company that is a wholly owned subsidiary of Dominion Partners.
Manager
Dominion Funds Management, LLC, a newly formed Delaware limited liability company and wholly owned subsidiary of Dominion Partners will act as the manager and also perform certain administrative functions for the Partnership.
The Manager will make all investment decisions on behalf of the Partnership, including, without limitation, decisions as to the terms, conditions and types of investments in Projects to be made. The Manager will determine when, and on what terms, the Partnership will sell, exchange or otherwise dispose of or realize profits or losses on Projects including, without limitation, the type of sale or exchange or other disposition (including a like kind exchange) of Projects or securities related to Projects. The Manager’s members may devote substantial portions of their time and attention to activities not related to the operation of the Partnership. The Manager may, in its sole discretion, delegate certain operations to one or more sub-advisors.
